EOR vs independent contractor: start with the working facts
An Employer of Record is used when the relationship is employment and another qualified entity will be the legal employer. An independent contractor is used when the person runs an independent business and controls how the service is delivered. The invoice format does not decide the category. Local tests do.
A practical side-by-side
| Question | EOR employee | Independent contractor |
|---|---|---|
| Legal relationship | Employment with the EORβs local entity. | A services contract with the contractorβs business, where lawful. |
| Who directs the method of work | The client, within employment rules and the agreed role. | The contractor, subject to the deliverable and the contract. |
| Hours, tools, substitution | Usually set or constrained by the employer. | Often the contractorβs own, including the right to substitute where genuine. |
| Pay and tax | Payroll, withholding, and employer contributions as required. | The contractor invoices and handles their own tax registrations, where required. |
| Benefits and leave | Statutory employment entitlements apply. | Employment leave and benefits generally do not apply. |
| Exit | Employment termination or transfer process. | Contract notice, deliverable close-out, and access removal. |
Signals that the contractor label is under stress
Countries use different tests, but the same facts keep appearing in misclassification disputes: the person works full time for one company, uses its equipment, joins internal stand-ups, cannot send a substitute, and can be moved between tasks. A contractor agreement that recites βindependentβ while those facts are true is a weak control.
UK IR35, US common-law and ABC-style tests, and EU platform or employment-presumption rules are not interchangeable. Use the test that applies in the work location, with counsel. This page does not choose the result for a named country.
When EOR is the cleaner path
If the role is employment and you do not have a local entity, an EOR can be the employing vehicle. That is the situation described in first international hire and in how to hire abroad without a local entity.
If the person truly operates an independent business, EOR is the wrong product. Do not buy employment administration to decorate a contractor invoice, and do not use a contractor invoice to avoid employment where the facts are employment.
Intellectual property and confidentiality still need documents
Employment contracts and contractor agreements both need assignment and confidentiality language that actually works under the governing law. Software teams should also read the software industry notes. The EOR contract can carry employment-side IP terms; it does not automatically replace a separate invention assignment where local law requires one.
